OEM/ODM work depends on technical feasibility, quantity, budget, intellectual-property permissions, material availability, target-market requirements and production-resource suitability.

Final development and production are based on approved project requirements, sample approval, artwork approval, technical details and written transaction documents. A change requested after approval may affect price, timing, tooling, materials or minimum quantity and may require a revised confirmation.

6. Samples, Tooling & Approvals

Sample availability, sample fees, courier costs, development timing, tooling fees and revision scope vary by product and must be confirmed for the specific project.

A sample is intended to establish an approval reference for relevant product, color, material, artwork, component and packaging details. Natural material variation, mass-production processes and accepted tolerances may result in reasonable differences between a sample and bulk production.

Tooling, molds, patterns, printing plates, artwork files and development materials may have separate ownership, storage, maintenance or reuse terms. Those terms apply only when stated in the quotation, invoice, contract or another written agreement.

7. Orders & Transaction Documents

Website content does not itself create a binding sales contract. A sample order, purchase order, production order or OEM/ODM project must be accepted through written communication, a proforma invoice, contract or another formal transaction document.

Transaction documents may define product specifications, quantity, unit price, total amount, payment terms, sample or tooling arrangements, lead time, packaging, inspection, testing, trade terms, shipping method, delivery documents and other agreed conditions.

If these website Terms conflict with a transaction-specific document signed or otherwise accepted by the parties, the transaction-specific document controls for that transaction to the extent of the conflict.

8. Prices, Payment, Taxes & Other Charges

Website prices, where displayed, are indicative unless expressly stated otherwise. The applicable currency, payment schedule, bank details, sample fees, tooling fees, packaging charges, testing charges and freight costs must be confirmed in the relevant quotation or transaction document.

Unless a written transaction document states otherwise, a quotation may be revised before order acceptance when product specifications, quantities, costs, exchange rates, freight conditions or project requirements change.

Taxes, duties, import charges, customs fees, bank fees and other third-party costs are allocated according to the agreed trade terms and transaction documents. Customers should confirm destination-country requirements with their own import, customs, tax or legal advisers when needed.

9. Production, Delivery & Shipment

Production and delivery timing depends on final specifications, approvals, deposits or other agreed payment, material availability, production capacity, inspection, testing, packaging and logistics conditions.

A preliminary schedule is an estimate until the order requirements and transaction documents are confirmed. Delayed artwork, sample, specification, payment or packaging approval may require the schedule to be adjusted.

Shipment method, trade terms, delivery point, risk transfer, title, freight responsibilities and document requirements are governed by the applicable transaction documents rather than by general website content.

10. Quality, Inspection & Compliance

The customer is responsible for claims arising from materials it supplies or instructs us to use when those materials infringe or allegedly infringe another party's rights, except to the extent caused by our unauthorized use.

12. Information You Provide & Confidentiality

You may provide company details, product ideas, reference photos, drawings, artwork, trademarks, packaging files, target-market requirements, quantities and other project information. You confirm that the information is accurate, lawful to share and provided by a person authorized to communicate for the relevant business.

We may use project information to respond to inquiries, prepare quotations, develop samples, evaluate feasibility, coordinate suppliers or production partners, arrange testing or inspection and support order fulfillment.
