Terms for Using the Shinegifts B2B Website
These Terms of Service explain the rules for using our website, viewing product information, submitting B2B inquiries, requesting quotations and communicating with Ningbo Shinegifts Import & Export Co., Ltd. about sourcing, OEM/ODM, private-label and export projects.
1. Agreement to These Terms
Welcome to the website of Ningbo Shinegifts Import & Export Co., Ltd. (“Shinegifts”, “we”, “our” or “us”). By accessing, browsing or using this website, you acknowledge that you have read and agree to these Terms of Service.
If you do not agree with these Terms, please stop using the website. These Terms apply to website visitors, business customers, inquiry senders and users who communicate with us through the website or its linked business contact channels.
2. Website Use
This website is intended for business information and B2B communication relating to creative toys, DIY craft kits, plush toys, educational toys, bath products, sensory toys, gift products, OEM/ODM customization, private-label projects and export support.
You agree not to use the website to:
- Carry out unlawful, fraudulent, misleading, harmful or abusive activity.
- Send spam, malicious code, false inquiries or unauthorized commercial messages.
- Attempt to access, damage, disrupt, probe or interfere with the website, server or connected systems.
- Copy, scrape, republish or commercially exploit website content without permission.
- Submit false company, identity, contact, product or project information.
- Impersonate another person or organization or misrepresent your authority to act for a business.
We may restrict or block access where reasonably necessary to protect the website, other users, our business communications or applicable legal obligations.
3. Product Information
Product images, descriptions, dimensions, colors, materials, accessories, packaging examples, category names and other website information are provided for general B2B reference and sourcing discussion.
Because many products support OEM/ODM development, private-label packaging, component changes and target-market requirements, final details may differ from website examples. The approved sample, specification, artwork, quotation and written order documents control the final project scope.
We work to keep product information useful and current, but website information may contain omissions, typographical errors, outdated examples or differences caused by product revisions, photography, screen display or customization.
4. Inquiries & Quotations
When you submit an inquiry through the website, email, WhatsApp or another business channel, you agree to provide information that is accurate and sufficient for a meaningful sourcing or quotation discussion.
A quotation, product recommendation, target price, MOQ, lead-time estimate, sample cost, tooling cost, packaging option, testing estimate or shipping estimate is not a binding commitment until confirmed in writing.
Quotation details may depend on:
- Product design, size, materials, accessories, construction and set combination.
- Logo, artwork, labels, manuals, barcode and private-label packaging requirements.
- Order quantity, target market, testing needs, age grading and intended sales channel.
- Raw-material, labor, packaging, exchange-rate, tooling and freight conditions.
- Payment terms, trade terms, production schedule and delivery requirements.
5. OEM/ODM & Private-Label Projects
Shinegifts supports global B2B customers with product sourcing, product combinations, customization, sample development, logo application, private-label packaging, production coordination, quality checking, export documentation and shipment support according to the agreed project scope.
OEM/ODM work depends on technical feasibility, quantity, budget, intellectual-property permissions, material availability, target-market requirements and production-resource suitability.
Final development and production are based on approved project requirements, sample approval, artwork approval, technical details and written transaction documents. A change requested after approval may affect price, timing, tooling, materials or minimum quantity and may require a revised confirmation.
6. Samples, Tooling & Approvals
Sample availability, sample fees, courier costs, development timing, tooling fees and revision scope vary by product and must be confirmed for the specific project.
A sample is intended to establish an approval reference for relevant product, color, material, artwork, component and packaging details. Natural material variation, mass-production processes and accepted tolerances may result in reasonable differences between a sample and bulk production.
Tooling, molds, patterns, printing plates, artwork files and development materials may have separate ownership, storage, maintenance or reuse terms. Those terms apply only when stated in the quotation, invoice, contract or another written agreement.
7. Orders & Transaction Documents
Website content does not itself create a binding sales contract. A sample order, purchase order, production order or OEM/ODM project must be accepted through written communication, a proforma invoice, contract or another formal transaction document.
Transaction documents may define product specifications, quantity, unit price, total amount, payment terms, sample or tooling arrangements, lead time, packaging, inspection, testing, trade terms, shipping method, delivery documents and other agreed conditions.
If these website Terms conflict with a transaction-specific document signed or otherwise accepted by the parties, the transaction-specific document controls for that transaction to the extent of the conflict.
8. Prices, Payment, Taxes & Other Charges
Website prices, where displayed, are indicative unless expressly stated otherwise. The applicable currency, payment schedule, bank details, sample fees, tooling fees, packaging charges, testing charges and freight costs must be confirmed in the relevant quotation or transaction document.
Unless a written transaction document states otherwise, a quotation may be revised before order acceptance when product specifications, quantities, costs, exchange rates, freight conditions or project requirements change.
Taxes, duties, import charges, customs fees, bank fees and other third-party costs are allocated according to the agreed trade terms and transaction documents. Customers should confirm destination-country requirements with their own import, customs, tax or legal advisers when needed.
9. Production, Delivery & Shipment
Production and delivery timing depends on final specifications, approvals, deposits or other agreed payment, material availability, production capacity, inspection, testing, packaging and logistics conditions.
A preliminary schedule is an estimate until the order requirements and transaction documents are confirmed. Delayed artwork, sample, specification, payment or packaging approval may require the schedule to be adjusted.
Shipment method, trade terms, delivery point, risk transfer, title, freight responsibilities and document requirements are governed by the applicable transaction documents rather than by general website content.
10. Quality, Inspection & Compliance
Quality coordination may include requirement review, material and sample review, production follow-up, appearance and function checking, packaging inspection, quantity checking and pre-shipment review according to the confirmed project requirements.
Testing and documentation support may be coordinated according to the product type, materials, age grade, intended use, destination market and buyer requirements. References to EN71, ASTM F963, CPSIA, CE, REACH or other standards do not mean that every product automatically holds every test report or approval.
Buyers are responsible for communicating applicable product, labeling, warning, packaging, testing, import and local-market requirements before order confirmation. Final compliance scope, laboratories, test methods, reports and related costs must be confirmed per project.
11. Intellectual Property
Unless otherwise stated, website text, layout, graphics, logos, icons, images, product descriptions and page design are owned by Shinegifts, licensed to Shinegifts or used with permission. You may not reproduce, modify, publish, distribute or commercially use them without authorization.
Customer-provided logos, trademarks, artwork, packaging designs, product concepts and other materials remain the property of the customer or rightful owner. By providing them, the customer confirms it has the necessary rights and authorizes Shinegifts and relevant production or service partners to use them for quotation, sampling, testing, production, packaging, inspection and order fulfillment.
The customer is responsible for claims arising from materials it supplies or instructs us to use when those materials infringe or allegedly infringe another party's rights, except to the extent caused by our unauthorized use.
12. Information You Provide & Confidentiality
You may provide company details, product ideas, reference photos, drawings, artwork, trademarks, packaging files, target-market requirements, quantities and other project information. You confirm that the information is accurate, lawful to share and provided by a person authorized to communicate for the relevant business.
We may use project information to respond to inquiries, prepare quotations, develop samples, evaluate feasibility, coordinate suppliers or production partners, arrange testing or inspection and support order fulfillment.
We handle business information with reasonable care, but website inquiry submission does not by itself create a non-disclosure agreement or an exclusive relationship. Do not submit highly confidential information until an appropriate written confidentiality agreement or secure communication method has been arranged.
13. Third-Party Services & Links
The website may link to or use independently operated hosting, analytics, security, maps, social media, WhatsApp, B2B platforms, logistics, testing, payment or other third-party services.
Third-party links and tools are provided for convenience or website operation. We do not control their content, availability, security, terms or privacy practices. Review the relevant third-party terms before using those services.
14. Website Availability & Disclaimers
The website and its content are provided on an “as available” basis for general business information. We do not promise uninterrupted access, error-free operation, permanent availability of a product, or that every website example is suitable for a particular market, customer, use or regulatory requirement.
Nothing on the website should be treated as engineering, testing, legal, tax, customs or regulatory advice. Buyers should obtain their own specialist advice when a project requires it.
We may correct, update, remove or reorganize website content, products, categories, features or links without prior notice, subject to any separate written obligation applying to an accepted order.
15. Limitation of Liability
To the maximum extent permitted by applicable law, Shinegifts is not liable for indirect, incidental, special, consequential or punitive loss arising solely from website use, reliance on unconfirmed website information, inability to access the website or delays in general website communication.
Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited. Any liability, warranty, remedy, claim procedure or financial limit relating to a specific transaction is governed by the applicable written transaction documents and mandatory law.
Nothing on this website is a final product guarantee, final quotation, confirmed delivery schedule or binding order commitment unless separately confirmed in writing by Shinegifts.
16. Privacy
Website use and business communication may involve submitting contact, company, technical and project information. We manage personal information according to our Privacy Policy.
Please review the Privacy Policy for information about collection, use, sharing, retention, security, cookies, international transfers and available privacy choices or rights.
17. Changes to These Terms
We may update these Terms to reflect changes in the website, services, business operations or applicable requirements. The revised version will be posted on this page with an updated “Last Updated” date.
Changes to these website Terms do not retrospectively alter an accepted transaction document unless the parties separately agree in writing. If a provision of these Terms is found unenforceable, the remaining provisions continue to apply to the extent permitted by law.
